These Terms of Service ("Terms") govern your use of the Newzen website and any services provided by Newzen LLC ("Newzen", "we", "us" or "our"), a limited liability company registered in New Mexico, USA. By using our website or engaging our services, you agree to these Terms. If you do not agree, please do not use the website.
Our services
Newzen provides website design and development (including Shopify, WordPress, custom CMS and custom web applications), Google Ads and Meta Ads management, and social media management. Services are delivered by Newzen LLC with a team based in Bangladesh.
The specific scope, deliverables, timeline, fees and payment terms for any project are set out in a written quote, proposal or agreement ("Project Agreement"). If a Project Agreement conflicts with these Terms, the Project Agreement takes priority for that project.
Free growth audit
Our free growth audit is a general review based on publicly available information and anything you choose to share. It is provided for information only, without charge and without obligation to buy services. We aim to deliver it within two business days, but timing may vary.
Quotes and pricing
- Prices on our website are shown as starting points ("from") and may change. Your final price is the one in your written quote.
- Quotes are fixed-price for the agreed scope. Work outside that scope is quoted separately before it begins.
- Advertising spend paid to platforms such as Google or Meta, and third-party costs such as hosting, domains, themes, apps or software subscriptions, are not included in our fees unless stated, and are usually paid directly by you.
Your responsibilities
When working with us, you agree to:
- Provide accurate information, content and timely feedback and approvals
- Ensure you have the rights to any content, images, logos or materials you provide
- Review and approve content, ads and claims before publication, including for compliance with laws, professional rules and platform policies that apply to your business
- Keep your account credentials secure
Ownership
Once you have paid in full for a project, you own the final deliverables created specifically for you, such as your website design, custom code and content we write for you, subject to any third-party licenses (for example, for themes, plugins, fonts or stock images). Domains, hosting, ad accounts and analytics accounts are set up in your name wherever possible. We may keep a copy of our work for our records and may reuse general know-how, techniques and non-client-specific code.
Unless you ask us not to, we may mention that we worked with you in our portfolio, without disclosing confidential information.
No guarantees of results
We work hard to deliver good outcomes, but marketing and search results depend on many factors outside our control, including competition, platform algorithms, ad policies and market conditions. We do not guarantee specific rankings, traffic, leads, sales or return on ad spend. Advertising platforms may approve, reject or restrict ads under their own policies.
Website use
You agree not to misuse our website, including by attempting to gain unauthorized access, interfering with its operation, submitting spam or malicious content, or using it for any unlawful purpose. Content on this website, including text, design and graphics, belongs to Newzen or its licensors and may not be copied for commercial use without permission.
Articles and guides on our website are general information, not legal, financial, medical or professional advice. Platform policies and laws change, so always check current rules for your situation.
Cancellation
Monthly services such as ads or social media management have no long-term lock-in and can be canceled with the notice period stated in your Project Agreement. Project work completed before cancellation is payable as set out in your quote.
Limitation of liability
To the maximum extent permitted by law, Newzen is not liable for any indirect, incidental, special or consequential damages, or for lost profits, revenue or data, arising from your use of our website or services. Our total liability for any claim relating to a project is limited to the fees you paid us for that project in the three months before the claim arose, unless a Project Agreement states otherwise.
The website is provided "as is" without warranties of any kind, to the extent permitted by law.
Indemnity
You agree to indemnify Newzen against claims arising from content or materials you provide, from your business's products or services, or from your breach of these Terms or applicable law.
Privacy
Our Privacy Policy explains how we collect and use personal information.
Governing law
These Terms are governed by the laws of the State of New Mexico, USA, without regard to its conflict of law rules. Any dispute will be subject to the courts located in New Mexico, unless otherwise agreed in writing.
Changes to these Terms
We may update these Terms from time to time. The updated version will apply from the effective date shown at the top of this page.
